Novelties regarding the Commercial Register 2021
Effective January 1, 2021, the Swiss Commercial Register will be revised and modernized. The main revisions include the following:
Commercial register application
To date, applications to the commercial register had to be made by two members of the highest corporate body or by one member with individual signing authority. Henceforth, all authorized signatories as well as authorized third parties (e.g. legal counsel) may sign and file an application for a legal entity. However, the authorization of a third party, which must be attached to the application, must be signed by one or more members of the upper management in accordance with their signatory rights.
Abolition of the so-called "Stampa Declaration”
The “Stampa Declaration”, i.e. a separate confirmation that no other contributions in kind, acquisitions in kind and intended acquisitions in kind, offsetting or special benefits than those mentioned in the supporting documents of the deed of incorporation or capital increase are made, is abolished. respective declaration will be incorporated in the actual deed.
